These Terms and Conditions("Terms") shall govern all sales of goods and provision of services by REACO Industrial Electronics Co., Ltd.("REACO CNC"). Any modification, waiver, or deviation from these terms must be valid only if expressly agreed upon in writing and signed by an authorized officer of REACO CNC. Buyer‘s acceptance of goods or services, issuance of a purchase order, or use of REACO CNC websites constitutes agreement to these Terms and Conditions.

1. Price & Payment Terms
  • All pricing is stated in U.S. Dollars (USD).
  • Prices exclude applicable taxes, shipping, and handling fees unless stated otherwise.
  • Quotes are valid for 30 days unless noted.
  • If a valid tax exemption certificate is not provided, applicable taxes will be added to the invoice.
  • Standard terms: 100% payment due upon delivery, unless otherwise stated in the invoice.
2. Shipping, Title & Risk of Loss
  • Shipping: Delivery is made when goods are handed to the carrier (FOB origin / EXW REACO facility) unless otherwise agreed. Buyer bears all transportation risk and expense after tender to carrier.
  • International Shipments: Buyer is the Importer of Record and is responsible for customs clearance, duties, VAT, taxes, and delivery to final destination. Non-U.S. shipments should be clearly marked per Buyer’s instructions.

REACO CNC ships internationally using DHL, UPS, or FedEx, depending on the destination and shipping efficiency. Once the order has been dispatched, REACO CNC will provide a tracking number so that the shipment can be monitored online.

If Buyer requests delay after goods become ready, REACO CNC may require signed title transfer acknowledgment and may charge storage or handling fees after an agreed holding period. For lost or damaged shipments Buyer should retain original packaging and promptly file claims with the carrier; if REACO shipped the goods, Buyer must notify REACO immediately and avoid installing or repairing the item to preserve claim rights.

3. Core Exchanges and Credits

When applicable, parts may be invoiced at list price with a core credit applied once a qualifying core is returned and accepted. Cores must be economically repairable; heavily damaged cores may receive lower credit or be rejected. An exchange form or RMA must accompany core returns. Core credits expire five (5) years from issuance and have no cash value—they may only be applied toward future REACO CNC purchases or, at REACO CNC’s discretion, toward outstanding balances.

4. Inventory Availability

All products offered by REACO CNC are subject to current stock levels and processed on a “first-confirmed, first-supplied” basis. Items will not be reserved unless supported by a valid purchase order and, where applicable, an advance payment.

5. Order Cancellation & Returns
  • Orders canceled after issuance may be subject to a 25% cancellation fee.
  • REACO CNC reserves the right to retain part or all of any deposit as a restocking fee.
  • Once an order has shipped, robot systems are non‑returnable.
6. Restocking & Exchanges

All restocks, warranty returns, or exchanges are subject to the following terms:

  • Returns must be pre-approved with an RMA (Return Material Authorization).
  • Standard return: 14 days from invoice date. Items returned within 14 days may receive partial credit subject to inspection.
  • Restocking fee: A minimum restocking fee of 15% applies (minimum $100).
  • No credit is guaranteed for returns more than 30 days from invoice date.
  • All configured/custom items may be non‑returnable or subject to higher restocking fees.
  • Items installed, damaged, or used incorrectly may not be eligible for return.
7. Warranty
  • New and Refurbished parts: 1-year warranty from date of delivery.
  • Used parts: 3-month warranty from date of delivery.
  • Repair Service: 3-month warranty from date of delivery.

Warranty Process and Terms:

  • Buyer must obtain RMA prior to returning parts.
  • Items returned within 90 days of shipment that are confirmed under warranty may be replaced or credited. Items determined to have no problem found (NPF) may incur inspection, restocking and rush-test fees.
  • Out‑of‑scope damage will be quoted for repair or replacement; buyer may choose repair, repurchase or return.

During the warranty period, the buyer is responsible for shipping the defective item back to REACO CNC.
If the defect is confirmed to be covered under warranty, REACO CNC may, at its discretion, credit or cover part of the return shipping cost in the buyer’s next order.
If the product is found to be non-defective or damaged due to external causes, the buyer shall bear all related shipping and handling charges.

Warranty Exclusions:
Warranty is void for items subjected to tampering, abuse, contamination (including coolant intrusion), external damage (surge, fire, flood), incorrect installation, operation beyond design intent, or unauthorized export.
In addition, the following cases are not covered by warranty and may be repaired at cost:

  1. Improper repair, modification, relocation, or operation by the buyer or a third party.
  2. Damage caused by fire, flood, earthquake, or other force majeure events.
  3. Failures due to poor sealing of the machine tool (e.g., PCB corrosion, motor water damage).
  4. External factors such as voltage surge, lightning, contamination, or misoperation.
  5. Any faults not caused by the product itself.
8. Abandonment of Customer‑Owned Materials

Customer‑owned items left for quote, repair or refurbishment that receive no response from Buyer within 180 days may be deemed abandoned and become property of REACO CNC, which may dispose of them at its discretion.

9. Liability Limitation

REACO CNC’s liability is limited to repair, replacement, or refund of the defective product. We are not liable for indirect, incidental, or consequential damages (including production downtime, loss of profit, or data).

10. Compliance with Laws

Buyer agrees to comply with all applicable laws and export regulations. Products may not be used in activities related to weapons of mass destruction or other prohibited applications. Buyer is responsible for obtaining any required licenses or authorizations.

11. Force Majeure

Neither party is liable for delays or failures due to events beyond reasonable control, including acts of God, labor disputes, government acts, epidemics, embargoes, terrorism, natural disasters, or supply chain disruptions. Affected party shall notify the other promptly.

12. Governing Law

These Terms are governed by the laws of the People's Republic of China. Any disputes shall be resolved in the courts of that jurisdiction.

13. Entire Agreement

These Terms and Conditions, together with any written quotations, contracts, or confirmations issued by REACO CNC, represent the entire and exclusive agreement between the Buyer and REACO Industrial Electronics Co., Ltd.. Any additional or conflicting terms appearing in Buyer‘s purchase orders or correspondence shall have no effect unless expressly accepted in writing by REACO CNC.
